Offering Period
A period of time, with a stated beginning and end date, defined for the purchase of stock in an Employee Stock Purchase Plan. Each individual offering period may have its own rules for employee eligibility, stock purchase discount, and other terms. Rules governing participation in the Employee Stock Purchase Plan may vary from offering period to offering period. Refer to your plan rules for more information.

On the Close
A time-in-force restriction that can be placed on the execution of a sell request. This restriction requires that the sell request is executed as close as possible to the closing price for a stock. All or any part of the sell request that cannot be executed at the closing price is canceled. To place an on-the-close option sell request, call a Fidelity Stock Plan Services representative for approval and, if approved, to have the sell request placed. Sell requests with the on the close restriction:

On the Open
A time-in-force restriction that can be placed on a sell request. This restriction requires that the sell request is executed as close as possible to the opening price for a stock. All or part of the sell request can be executed. Any part of the sell request that cannot be executed at the opening price is canceled. Sell requests with the on the open restriction:

Optionee
Anyone who has been granted stock options and still holds them.

Options Cancelled
On the Stock Option Summary-Vesting Schedule and Details screen for a particular stock option grant, this is the number of stock options that have been cancelled (e.g., because they were not exercised prior to the expiration date, you no longer work for your employer, etc.).

Options Exercised
For a stock option grant, this is the number of stock options that have previously been exercised. On an exercise request verification or confirmation screen, this is the number of shares for which you request an exercise.

Options Granted
The number of stock options an issuer (e.g., your company) has awarded to you. This gives you the right to purchase a specified number of shares of the Issuer's stock at a specific price for a specified period of time.

Options Outstanding
The number of options, including vested options and unvested stock options, that you hold. This is the number of options you were granted less the number of options previously exercised and less any that may have expired or been canceled.
